Terms of Service

When you use Stride ("Stride," "we," "our," or "us"), you agree to these Terms of Service ("Terms"). If you don't agree, don't use the Services.
We may update these Terms from time to time. If we make material changes, we'll update the date above and notify account owners by email or in-app.
Definitions
"Services" means the Stride Schedule software, websites, and related services we provide.
"Account Owner" means the person or organization that controls an account.
"Users" means people invited under an Account Owner's account.
"Customer Data" means all schedules, files, messages, and other content uploaded or created in the Services.
"Project" means one concurrent active project permitted under your plan.
Account Terms
You're responsible for maintaining the security of your account, passwords, and access.
You're responsible for all activity under your account, including activity by your Users.
You must provide accurate billing and contact information and keep it current.
You may not use the Services to violate applicable law, infringe IP rights, transmit malware, or disrupt the Services or other customers.
Projects and Use Limits
Your plan includes the number of Projects shown on your invoice or order form.
You may have up to that number of active projects at a time.
When you delete or archive a project, it no longer counts toward your active Projects.
We may enforce reasonable usage limits to protect performance for all customers.
Fees, Payment, and Taxes
Paid plans are billed in advance, monthly or annually, per Project, as shown on your invoice or order form.
If your plan includes a trial or pilot period, the length and any special pricing will be stated on the invoice or order form. After that period, standard billing applies.
If payment is overdue, we may suspend access until payment is made.
Fees are exclusive of taxes. You're responsible for all applicable taxes, unless we're required to collect them.
Plan Changes and Pricing
You can change your plan (increase or decrease Projects) effective the next billing cycle unless your invoice says otherwise.
We may change prices for new customers at any time. If we change prices for existing customers, we'll give at least 30 days' notice.
Pricing is guaranteed for any prepaid term shown on your invoice. Renewals are at then-current rates.
Cancellation and Termination
You may cancel your account at any time by written notice to Stride support or through in-app billing controls where available.
Cancellation takes effect at the end of your current paid term. We don't prorate unused time unless required by law or stated in a separate Refund Policy.
After cancellation, your Customer Data will be inaccessible. We'll delete Customer Data from active systems within 30 days and from backups within 60 days, unless legally required to retain it.
We may suspend or terminate an account immediately if you materially breach these Terms or use the Services abusively or unlawfully.
Modifications to the Services
We may modify, add, or remove features at any time. We'll try to avoid breaking core workflows, but the Services may evolve over time.
Customer Data, Privacy, and Security
You own your Customer Data. We don't claim ownership.
You grant Stride a limited license to host, process, transmit, and display Customer Data only to provide and improve the Services.
We use reasonable administrative, technical, and physical safeguards (including encryption in transit and at rest) to protect Customer Data. You're responsible for securing your own networks, devices, and credentials.
Our handling of personal data is described in our Privacy Policy. We don't sell Customer Data.
We may access Customer Data to provide support you request, maintain security, prevent abuse, or comply with law.
We may use vetted subprocessors (hosting, analytics, support tools) to run the Services. They're bound to protect Customer Data.
Intellectual Property
Stride owns all right, title, and interest in the Services, including all intellectual property.
You receive a limited, non-exclusive, non-transferable right to use the Services during your paid term.
You may not reverse engineer, copy, resell, or exploit the Services without our written permission.
Warranties and Disclaimers
The Services are provided "as is" and "as available." We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability
To the fullest extent permitted by law, Stride is not liable for indirect, incidental, consequential, special, or punitive damages, or for loss of profits, revenue, data, or business.
Stride's total liability for any claim is limited to the amount you paid to Stride in the 12 months before the event giving rise to the claim.
Stride does not guarantee project outcomes or schedule accuracy. You are solely responsible for your project execution and results.
Indemnification
You agree to indemnify and hold Stride harmless from claims arising out of your Customer Data, your use of the Services, or your violation of these Terms.
Governing Law and Dispute Resolution
These Terms are governed by Utah law, without regard to conflict-of-law rules. Any dispute will be resolved by binding arbitration in Salt Lake City, Utah, except either party may seek injunctive relief in court for misuse of intellectual property or unauthorized access.
Miscellaneous
Entire agreement. These Terms and any invoice/order form are the full agreement.
Severability. If any part is unenforceable, the rest remains in effect.
Assignment. You may not assign these Terms without our consent, except in a merger or sale of substantially all assets.
Notices. Notices must be in writing to the contact emails on record.
